Increase in the costs of publishing company documents
April 2022 – Since 1 June 2003, all deeds of legal persons (associations, companies and others) are published in the "Annexes du Moniteur belge". The amount of the publication fee is usually increased on 1 March and this is the case this year as well.
Which company documents?
The following documents must be published in the "Annexes du Moniteur belge":
the extract of the constitutive act ;
the first version of the text of the articles of association together with the memorandum of association, and the coordinated text of these updated articles of association together with each amendment to the articles of association;
an extract of the acts relating to the appointment and termination of the functions of directors, auditors, liquidators, provisional administrators and members of the supervisory board;
an extract of the court decision declaring the company null and void or dissolved;
a declaration of the dissolution of the company;
the declaration that the function of a director, commissioner, etc. has been terminated by operation of law;
for a European Economic Interest Grouping: the clause exempting a new member from the payment of debts arising prior to its entry, where it appears in the admission deed.
Where applicable, an extract from the conditions of issue of the securities may be filed.
ASBLs are roughly required to publish the same acts: an extract of the deed of incorporation, the appointment and termination of directors, decisions relating to the nullity or dissolution of the ASBL, etc.
From 1 March
From 1 March 2022, the costs of publicising these documents will amount to (price including VAT) for companies :
Incorporation document on paper: 298,75 euros (compared to 286,89 euros in 2021)
Electronic Memorandum of Association: 241.27 euros (compared to 231,72 euros in 2021)
Amendments: 175,21 euros (compared to 168,19 euros in 2021)
For ASBLs:
Incorporation document on paper: 206,91 euros (compared to 198,56 euros in 2021)
Electronic memorandum of association: 149,44 euros (compared to 143,51 euros in 2021)
Amendments: 140,24 euros (compared to 134,55 euros in 2021)
